Country Manager Agreement

1. Subject of the Agreement

This agreement governs the collaboration between Menu5Star (hereinafter "Company") and the Country Manager (hereinafter "Coordinator"), within the Menu5Star service expansion program.

2. Country Manager Role

The Country Manager is responsible for coordinating and growing the Ambassador network in their assigned geographic area. Activities include:

  • Recruiting, training, and supervising Ambassadors in their area.
  • Continuous motivation and support for the Ambassador network.
  • Monitoring performance of assigned Ambassadors.
  • Periodic reporting to the Company on team activities.
  • Collaborating with the Company on local expansion strategies.
  • Participating in coordination meetings and calls.

3. Commissions (Override)

The Country Manager is entitled to the following recurring monthly commissions (override) for each active restaurant acquired by Ambassadors in their team:

  • Pro Plan (€20/month): €2.00/month override per active restaurant.
  • Business Plan (€40/month): €3.00/month override per active restaurant.

Override commissions are in addition to any direct commissions if the Country Manager personally acquires restaurants. Commissions are calculated at the end of each month and paid upon reaching the minimum threshold of €50.00.

4. Minimum Activity Requirements

The Country Manager must recruit and maintain at least 5 active Ambassadors within the first 3 months from the approval date. An Ambassador is considered "active" if they have at least 1 paying restaurant. If this minimum target is not met, the Company reserves the right to revoke the Country Manager status. The Coordinator will be notified by email 15 days before the deadline.

5. Country Manager Obligations

  • Manage and motivate the Ambassador network professionally.
  • Provide training and support to team Ambassadors.
  • Ensure Ambassadors comply with the Company's code of ethics and guidelines.
  • Promptly communicate any issues or opportunities in the territory to the Company.
  • Maintain exemplary and professional behavior.
  • Not represent themselves as a Company employee.
  • Dedicate an agreed minimum weekly commitment to program activities.

6. Territorial Exclusivity

The Company may assign the Country Manager an exclusive geographic area of responsibility. Exclusivity is subject to meeting minimum activity requirements and may be revoked for insufficient performance after written communication with 30 days' notice.

7. Nature of the Relationship

This agreement establishes an independent collaboration relationship. The Country Manager is NOT an employee of the Company. There is no subordination or work exclusivity requirement. The Coordinator operates with full organizational autonomy. Any tax and social security obligations are the Country Manager's responsibility.

8. Intellectual Property and Confidentiality

The same provisions as for Ambassadors (Arts. 8 and 9 of the Ambassador Agreement) apply. Additionally, the Country Manager commits to not disclosing information regarding individual performance of Ambassadors in their team.

9. Duration and Termination

The agreement has an indefinite duration. Either party may terminate with 30 days' notice via email. Upon termination, Ambassadors assigned to the Country Manager will be reassigned to another coordinator or managed directly by the Company. Commissions accrued up to the termination date will be regularly paid.

10. Termination for Breach

The Company may immediately terminate the agreement in case of:

  • Serious violation of contractual obligations.
  • Behavior damaging to the brand reputation.
  • Failure to meet minimum requirements for two consecutive quarters.
  • Improper use of Ambassador or restaurant personal data.

11. Personal Data Processing

The Country Manager's personal data will be processed in accordance with the Privacy Policy. The Country Manager authorizes the processing of their data for the purposes of the program. The Country Manager commits to processing Ambassador team data in compliance with GDPR.

12. Jurisdiction

This agreement is governed by Italian law. For any dispute, the Court of Bari shall have jurisdiction.
